The Normative Framework for the Process of Starting a Business: Comparative Approach – The R. Serbia, R. Croatia and R. Montenegro

Abstract: This paper was conceived on the basis of comparative legal analysis of the economic regulation of the Republic of Serbia, the Republic of Montenegro and the Republic of Croatia in regards to the establishment of economic and trade subjects, as the main carriers of economic development. In the first part of the paper, the focus of the research is directed to a method of establishing different forms of economic operators, that is recognized by the legal systems of the countries surveyed. The second part, determines the final phase in the process of starting a business, where the competent authorities performing the registration, assess the compliance of legal requirements, and in accordance with special laws and regulations, conduct the registration of business entities into the relevant registers, making them formally introduced into the economic system of a country. In this way, an attempt was made to investigate, review and compare how a selection of various commercial system mechanisms and institutions affect the socio-economic performance of countries in the region, with the intention of creating a progressive and pro-european business environment..
Apstrakt: Rad je koncipiran na bazi komparativne pravne analize privredne regulative Republike Srbije, Republike Crne Gore i Republike Hrvatske, u pogledu osnivanja privrednih odnosno trgovačkih subjekata, kao glavnih nosilaca razvoja privrede. U prvom delu rada, akcenat istraživanja je usmeren na postupak osnivanja različitih formi privrednih subjekata koje prepoznaju pravni sistemi analiziranih država. Drugi deo rada, determiniše završnu fazu u postupku osnivanja privrednih subjekata, u kojoj nadležni organi koji vrše registraciju, ocenjuju ispunjenost zakonskih pretpostavki, te u skladu sa posebnim zakonskim i podzakonskim aktima sprovode upis privrednih subjekata u odgovarajuće registre, čime se oni i formalno pravno uvode u privredni sistem države. Na ovaj način je učinjen pokušaj da se istraži, prikaže i uporedi kako izbori različitih privredno sistemskih mehanizama i institucija utiču na društveno ekonomsku uspešnost zemalja u regionu, sa namerom kreiranja naprednog i proevropskog poslovnog ambijenta.
