Legal relations in a bank guarantee
Summary: The bank guarantee is one of the most important instruments for securing the execution of a contract by undertakings, especially among economic entities. The role and significance of the banking guarantee in business operations has been confirmed by the fact that this security instrument is equally beneficial, both in dealing with foreign elements as well as in the internal trade space. A bank guarantee is a complex security instrument, in which at least three different legal entities appear. The paper analyzes the legal relations between the creditor and the borrower from the basic transaction, which represent the legal basis for the emergence of both the bank guarantee agreement and the bank guarantee themselves. The most complex legal relationship that is analyzed in this paper is the relationship between the debtor (debtor from the core business) and the guarantor bank. Particularly important is the problem that is considered in the paper from the point of view of the legal nature of the request for issuing a bank guarantee, which is considered in the majority of domestic legal public from the point of view of the contract on the order. In addition to the mentioned issues, the paper analyzes the contract on issuing bank guarantees, its legal nature, or legal features. The legal relationship between the beneficiaries of the bank guarantee and the guarantor bank is the last analyzed, taking into account the timing chronology of the occurrence of the previous legal relations, which consequently lead to the issuance of a bank guarantee, that is, to the creation of legal relations between the beneficiaries of the guarantee and the guarantor bank.
Sažetak: Bankarska garancija predstavlja jedan od važnijih instrumenat obezbeđenja izvršenja ugovorom preuzetih obaveza, naročito među privrednim subjektima. Uloga i značaj bankarske garancije u privrednom poslovanju jeste dobila na potvrdi time što se ovaj instrument obezbeđenja jednako koristi, kako u poslovima sa elementima inostranosti, tako i u unutrašnjem trgovinskom poslovanju. Bankarska garancija predstavlja složen instrument obezbeđenja, u kojem se pojavljuje najmanje tri različita pravna subjekta. U radu su analizirani, pravni odnosi između poverioca i dužnika iz osnovnog pravnog posla koji predstavljaju pravnu osnovu za nastanak, kako ugovora o izdavanju bankarske garancije, tako i same bankarske garancije. Najsloženiji pravni odnos koji se u radu analizira jeste odnos između nalogodavca (dužnika iz osnovnog posla) i banke garanta. Posebno od značaju jeste problematika koja se u radu razmatra sa stanovišta pravne prirode zahteva za izdavanje bankarske garancije, koji se u većem delu domaće pravne javnosti razmatra sa stanovišta ugovora o nalogu. Pored navedene problematike, u radu je analiziran i ugovor o izdavanju bankarske garancije, njegova pravna priroda, odnosno pravna obeležja. Pravni odnos između između korisnika bankarske garancije i banke garanta jeste poslednji analiziran, uvažavajući vremensku hronologiju nastanka prethodnih pravnih odnosa koji posledično dovode do izdavanja bankarske garancije, odnosno do nastanka pravnog odnosa između korisnika garancije i banke garanta.
