Abstract: A company is an artificially created entity, and it derives its legal status from legislation and law. Unlike individuals who become subjects of law by the very fact of birth, legal persons, or their founder or founders, must meet the requirements of the previous regulations provided that the company could become the subject of law, that would have legal capacity. Moment of acquisition of legal personality and legal capacity is very impor- tant, because since then is considered to be a company formed, that is established, it may be a bearer of rights and obligations and can enter into legal relations in its own name and for its own account. Мost jurisdictions recognize the legal personality of a company which is acquired by registration in the prescribed register. Acquisition of legal personality, company starts "separate life" which is different from the lives and interests of its founder.

Сажетак: Привредно друштво представља вештачки створен ентитет, односно оно црпи свој правни субјективитет из правних прописа и закона. За разлику од физичких лица која постају субјекти права самом чињеницом рођења, правна лица, односно њихов оснивач или оснивачи, морају испунити претходне прописима предвиђене услове да би привредно друштво могло постати субјект права, односно да би имало правну и пословну способност. Моменат стицања својства правног лица и пословне способности је веома значајан, јер се од тада сматра да је привредно друштво настало, односно да је основано, да може бити носилац права и обавеза и да може ступати у правне односе у своје име и за свој рачун. У већини правних система, привредном друштву се признаје правни субјективитет, које привредно друштво стиче уписом у прописани регистар. Стицањем правног субјективитета, друштво одпочиње „засебан живот“ који је различит од живота и интереса свог оснивача.
