Legal characteristics of bank guarantee and certain distinctions in regard to contract of assurance

Summary: One of the relevant issues in the operation of business enterprises is the issue of securing the fulfillment of contractual obligations. The bank guarantee is an instrument for securing claims and it has been extremely emphasized the importance of its in international business relations. Work analyzes the particular conceptual distinctions which are identified in jurisprudence, as well as legal characteristics of bank guarantee that has the character of a personal security instruments. The intention of the authors of the paper is based on a legal analysis of the characteristics of bank guarantee with comparative method to show relevant similarities and differences that exist between the bank guarantee and contracts of assurance. Realizing the legal nature of the contract of assurance, and the connection of this collateral as important for the generation and development of the bank guarantee, it is scientifically justified study that aims to demonstrate the important features and characteristics of both collateral, and to point out the similarities and differences that are of legal importance for their individualization.
Сажетак: Једно од релевантнијих питања у пословању привредних субјеката јесте питање обезбеђења испуњења уговором преузетих обавеза. Банкарска гаранција данас представља инструмент обезбеђења потраживања која има изузетно наглашен значај у међународним пословним односима. Рад анализира одређене појмовне дистинкције које се у правној науци идентификоване, као и правна обележја банкарске гаранције која има карактер персоналног средства обезбеђења. Интенција аутора рада јесте да се на темељу правне анализе обележја банкарске гаранције компаративном методом прикажу релевантне сличности и разлике које постоје између овог института обезбеђења и уговора о јемству. Схватајући правни значај уговора о јемству, и повезаност овог средства обезбеђења као значајног за настанак и развој банкарске гаранције, научно је оправдано истраживање које има за циљ да прикаже значајна обележја и карактеристике оба института обезбеђења, и да укаже на сличности и разлике које су од правног значаја за њихову индивидуализацију.
