General aspects on franchising and franchise contract as sui generis form principle of business law
Opšti osvrt na franšizing i ugovor o franšizingu kao sui generis poslove privrednog prava
REZIME: Franšizing predstavlja široko rasprostranjen i opšteprihvaćen metod poslovanja u svetu. Oblik poslovanja koji nudi franšiza je najbliže garanciji za uspeh na današnjem tržištu, i sa sigurnošću se može reći da franšizing polako postaje glavni izvor poslova i motor privrednog rasta svake tržišno orijentisane ekonomije. Ovaj rad ima za cilj da ukaže na zna- čaj franšizinga kao modela otpočinjanja određenog biznisa posmatranog kroz njegovu pravnu formu – ugovora o franšizingu. Ugovorima o franši- zingu regulišu se međusobni odnosi davaoca i korisnika franšize. Ugovor o franšizingu spada u neimenovane ugovore sui generis, odnosno ugovore koje zakon nije posebno regulisao. S tim u vezi, u pitanju je veoma složen i kompleksan ugovor, gde je davalac franšizinga po pravilu nadmoćna stra- na koja praktično reguliše ugovor i same uslove zaključenja.
ABSTRACT: Franchising represents a worldwide spread and accepted business met- hod. The franchise business method gives the closest guarantee for success on today’s market. It can be said, with a great certainty, that franchising is be- coming a main business source and development instrument of every market oriented economy. The purpose of this paper is to put an emphasis on franchi- sing as a model of certain business development, being observed through its legal form – a franchise contract. The franchise contracts define every aspect of the franchiser-franchisee relationship. The franchise contract belongs to non-nominated contracts sui generis, i.e. the contracts with no special de- signation. Regarding to this, it represents a very complex contract where a franchiser is more dominant part, which practically imposes and regulates contract and closure conditions.
